The terms that govern quotations and purchase orders.
Effective August 2026. These terms apply to quotations, purchase orders, and work performed by RJ Enterprises unless superseded by a separately executed written agreement.
1. Quotations and validity
Quotations issued by RJ Enterprises are based on the drawings, models, specifications and quantities provided at the time of the request. Unless otherwise stated in writing, a quotation is valid for thirty (30) days from its date of issue and is subject to change if the print, material, quantity, tolerance, or delivery requirement changes after the quotation is issued.
A quotation is not an offer to enter a binding contract until accepted by an authorized purchase order and confirmed in writing by RJ Enterprises.
2. Purchase orders and acceptance
A purchase order is accepted only upon written or electronic acknowledgment by RJ Enterprises. Terms stated on a customer purchase order that conflict with these Terms of Service, or with RJ Enterprises' written quotation, are not binding unless expressly accepted in writing by an authorized representative of RJ Enterprises.
Changes to an accepted purchase order — quantity, delivery date, revision level, material, or specification — must be submitted in writing and may result in a revised price and delivery schedule.
3. Prints, models and revisions
RJ Enterprises manufactures to the print, model, and revision level furnished by the customer at the time of order acceptance. It is the customer's responsibility to ensure that the drawing package, revision level, and any referenced specifications are current and complete.
If a customer issues a revised print or model after production has started, RJ Enterprises will evaluate the impact on cost, tooling, in-process material, and delivery, and will confirm any change in writing before proceeding under the new revision.
4. Tolerances and inspection
Parts are machined and inspected to the tolerances, geometric dimensioning and tolerancing callouts, and referenced specifications stated on the accepted print. Where a print is silent on a dimension, RJ Enterprises applies standard shop tolerances consistent with the machining process used.
Inspection is performed in accordance with RJ Enterprises' AS9100D / ISO 9001:2015 quality system. First-article inspection reports (including AS9102 format where specified), certificates of conformance, and material certifications are provided when required by the purchase order.
5. Customer-supplied material and tooling
Material, tooling, gaging, or fixtures furnished by a customer remain the customer's property and are used solely to manufacture that customer's parts. RJ Enterprises will exercise reasonable care in handling customer-supplied property but is not responsible for latent defects in customer-supplied material or for tooling wear consistent with normal production use.
Customer-supplied material is inspected for identification and basic conformance upon receipt but is not independently re-certified unless separately agreed in writing.
6. Delivery and title
Delivery dates are estimates based on information available at the time of order acceptance and are not guaranteed unless expressly stated as firm in the written order acknowledgment. RJ Enterprises is not liable for delays caused by circumstances beyond its reasonable control, including those described in Section 10.
Unless otherwise agreed in writing, shipment is made F.O.B. RJ Enterprises' Gardena, California facility, and title and risk of loss pass to the customer upon tender to the carrier.
7. Payment terms
Payment terms are stated on the order acknowledgment or invoice. Unless otherwise agreed in writing, invoices are due net thirty (30) days from the invoice date. Past-due balances may accrue interest at the maximum rate permitted by California law, and RJ Enterprises reserves the right to withhold shipment or suspend work on open orders in the event of past-due amounts.
Prices are exclusive of applicable sales, use, and similar taxes, which are the responsibility of the customer unless a valid exemption certificate is provided.
8. Warranty and limitation of remedy
RJ Enterprises warrants that parts will conform to the print, specification, and revision accepted at the time of order, and will be free from defects in workmanship, for a period of ninety (90) days from the date of shipment. This warranty does not extend to nonconformance arising from customer-furnished designs, prints, or material, from unauthorized modification, or from misuse, improper storage, or improper installation after delivery.
The exclusive remedy for a breach of this warranty is, at RJ Enterprises' option, repair, replacement, or credit for the nonconforming part. RJ ENTERPRISES DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL RJ ENTERPRISES BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, AND ITS TOTAL LIABILITY ARISING OUT OF ANY ORDER SHALL NOT EXCEED THE PURCHASE PRICE OF THE AFFECTED PARTS.
9. Confidentiality and controlled technical data
Drawings, models, specifications, and other technical data furnished by a customer are held in confidence and used solely to quote and manufacture that customer's parts. RJ Enterprises does not disclose customer technical data to third parties except as necessary to perform approved outside processing, and then only under confidentiality obligations consistent with the sensitivity of the data.
Where a customer identifies technical data as subject to the International Traffic in Arms Regulations (ITAR), the Export Administration Regulations (EAR), or similar controls, RJ Enterprises handles that data in accordance with the customer's written instructions and applicable law, including restrictions on access by non-U.S. persons where required. Customers are responsible for correctly identifying and marking controlled technical data before it is transmitted.
10. Intellectual property
Each party retains ownership of intellectual property it owned before entering into an order, and of any drawings, models, or specifications it furnishes. RJ Enterprises' process sheets, tooling designs, programs, and manufacturing know-how developed to produce a part remain RJ Enterprises' property, subject to any express written agreement to the contrary.
11. Force majeure
RJ Enterprises is not liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, fire, flood, labor disputes, government action, material or supply shortages, or failures of subcontractors, provided RJ Enterprises gives the customer prompt notice and resumes performance as soon as reasonably practicable.
12. Governing law
These Terms of Service, and any order accepted under them, are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to an order shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.
